MerinoFi – Terms of Service

MerinoFi is a financial technology product owned and operated by MerinoCode LLC (“MerinoCode,” “we,” “us,” or “our”).

MerinoFi provides financial technology tools to business customers in the United States.

MerinoFi is not a bank. Banking and card services are provided by our partner bank(s) through Stripe, including Stripe Payments, Stripe Issuing, and Stripe Treasury (“Stripe Services”).

By creating an account or using MerinoFi, you agree to these Terms of Service (“Terms”).


1. Eligibility & Account Registration

1.1 Eligibility

You must be at least 18 years old and legally capable of entering into contracts. If you create an account for a business, you confirm you are authorized to bind that business.

1.2 Accurate Information

You agree to provide and maintain accurate information. You authorize MerinoCode and Stripe to verify your identity using third-party vendors.

1.3 Business Use Only

MerinoFi accounts are intended for business and commercial use.


2. Banking-as-a-Service Disclosures (Stripe)

2.1 MerinoFi Is Not a Bank

MerinoFi is a product of MerinoCode LLC and provides software only.

Banking and issuance services are provided by Stripe’s regulated bank partners, including Evolve Bank & Trust, Member FDIC, Celtic Bank, or others (collectively, the “Bank Partner(s)”).

2.2 Deposit Accounts & Stripe Treasury

If you open a financial account through MerinoFi:
- The account is a Bank Partner account operated through Stripe Treasury.
- Your use of that account is governed by:
- The Bank Partner’s Deposit Account Agreement

- The Stripe Services Agreement

- Any card network or payment network rules

2.3 FDIC Insurance

Deposits are FDIC insured up to $250,000 per depositor once received by the Bank Partner.

Funds in transit or held in non-deposit instruments may not be FDIC insured.

2.4 Treasury-Backed Yield Products (If Offered)

If you opt into yield or treasury-linked features:
- These may involve U.S. Treasury instruments or sweep programs.
- These are not FDIC-insured.
- Yield is variable and not guaranteed.

2.5 Cards (Stripe Issuing)

Cards are issued by Stripe’s issuing bank partner.

Your activity is subject to:
- The Cardholder Agreement

- Network rules

- Applicable regulations


3. Use of the Services

3.1 License

MerinoCode grants you a limited, non-exclusive, revocable license to use MerinoFi.

3.2 Prohibited Activities

You may not use MerinoFi to:
- Break any law or regulation

- Engage in fraud or money laundering

- Interfere with system integrity

- Reverse engineer, copy, or resell our software

3.3 Third-Party Connections

MerinoFi may use vendors such as Stripe, Plaid, and identity verification partners.


4. Fees

We publish current pricing within the MerinoFi dashboard.

Examples (subject to change):
- Free checking tier: $0/month

- Paid tiers: subscription fees apply

- Physical card issuance: $5 per card

- Additional bank or Stripe fees may apply for wires or treasury features.


5. Data Authorization

You authorize MerinoCode and Stripe to collect and process data required to:
- Verify identity

- Prevent fraud

- Open and maintain accounts

- Comply with financial regulations

6. Intellectual Property

All MerinoFi branding, software, UI, and content belong to MerinoCode LLC or its licensors.

You may not reverse engineer or reproduce these materials.


7. Termination

We may suspend or terminate your account for:
- Violations of these Terms

- Fraud or suspicious activity

- Non-cooperation with compliance requests

- Required action by Stripe or the Bank Partner(s)

You may close your account through support. Some obligations survive termination.


8. Disclaimers & Limitation of Liability

8.1 No Warranty

MerinoFi is provided “as is.”

8.2 Limitation

To the fullest extent permitted by law:
- MerinoCode is not liable for indirect, consequential, or punitive damages.
- MerinoCode is not responsible for the actions of Stripe or Bank Partner(s).


9. Arbitration & Governing Law

Disputes will be resolved by binding individual arbitration.

These Terms are governed by the laws of the state where MerinoCode LLC is formed.


10. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.
